ATELIER OLIVER S.A.R.L. au capital de 40.000,00 euros Siège social, est : PERPIGNAN (66000) 16/18, rue du Rivage - 684 200 181 RCS PERPIGNAN OLIVER PEINTURE SARL S.A.R.L. au capital de 7.623,00 euros, Siège social : PERPIGNAN (66000) 15, rue du Rivage - 341 326 205 RCS PERPIGNAN Aux termes d'un acte sous seing privé en date à PERPIGNAN du 12 JUILLET 2018, les sociétés ATELIER OLIVER et OLIVER PEINTURE SARL ont établi le projet de fusion par absorption de la société OLIVER PEINTURE SARL, par la société ATELIER OLIVER, à qui la société OLIVER PEINTURE SARL apporterait la totalité de son actif évalué à 559.245,00 â¬, à charge de la totalité de son passif évalué à 314.468,00 â¬, soit un apport net de 244.776,00 â¬. Toutes les opérations effectuées par la société OLIVER PEINTURE SARL depuis le 1er janvier 2018 jusqu'à la date de réalisation définitive de la fusion seront prises en charge par la société ATELIER OLIVER. En application de l'article L. 236-11 du Code de commerce, il n'y a pas lieu à approbation de la fusion par la société absorbante. Dans ces conditions, la fusion deviendra définitive trente (30) jours après la publication au BODACC de l'avis visé à l'article R. 236-1 du Code de commerce. La société OLIVER PEINTURE SARL sera dissoute de plein droit, sans liquidation, au jour de la réalisation définitive de la fusion. Les créanciers des sociétés ATELIER OLIVER et OLIVER PEINTURE SARL dont la créance est antérieure au présent avis pourront faire opposition à la fusion dans les conditions et délais prévus par les articles L. 236-14 et R.236-8 et R. 236-10 du Code de commerce.
